1. Protection of Proprietary Industrial Data

As a specialist China OEM/ODM manufacturer, we recognize that your competitive advantage lies entirely in engineering and design differentiation. We provide a highly secure environment for 2D and 3D CAD drawings (STEP, IGES, DWG) for custom vacuum bottles, travel tumblers, jars, and koozies. Specifically engineered for global premium lifestyle brands looking for secure, verified OEM/ODM Technical Solutions across the United States, European Union, Canada, Japan, South Korea, Australia, New Zealand, and South America, our technical framework ensures that access to your technical specifications and exchange logs is strictly restricted to authorized project engineers only.

2. NNN & NDA Framework (The China Factory Standard)

To eliminate supply chain vulnerabilities, Ecoway Houseware standardizes NNN Agreements for all bespoke engineering projects. Under our execution protocol, the Receiving Party (Party B: Ecoway Houseware Limited, CRN: 63426742, located at FLAT/RM 1019B 10/F LIVEN HOUSE NO. 61-63 KING YIP STREET, KWUN TONG, KL, HONG KONG, managed under Van Huang) legally binds itself to strict non-disclosure, non-use, and non-circumvention rules immediately upon execution.

Furthermore, under any circumstances, we directly and/or through a third party shall not file any intellectual property registration applications which originate from Confidential Information disclosed by the brand owner. This restriction covers patent registration, trademark registration, and copyright registration.

3. Rigid Non-Disclosure Controls

We restrict the possession, knowledge, and use of your confidential information to our officers, employees, and authorized agents who have a legitimate need to know such data. We guarantee not to disclose any secret info to third parties in oral, written, graphic, electronic, or physical form. This includes a strict ban on displaying your customized drinkware developments inside our marketing collaterals, factory photographs, or promotional videos. We will never reveal to any third party (including our other customers) that our factory is manufacturing your specific proprietary products.

4. Strict Non-Use & E-Commerce Market Bans

Ecoway acknowledges that the disclosing brand holds total legal ownership of the design, concept, application, variation, and the exclusive right to use it. Under no circumstances will we use your designs or similar variations for the production of non-client merchandise. We are completely prohibited from utilizing your custom product images, packaging designs, or samples as advertisements in public displays, commercial exhibitions, or anywhere on the internet.

Without prior written permission, our facility is strictly barred from selling or displaying your customized designs onto global e-commerce and wholesale networks, including but not limited to: Alibaba, Amazon, eBay, Wish, Aliexpress, Pinduoduo, Taobao, JD, Tmall, Lazada, Shopee, and 1688.COM.

5. Non-Circumvention Protections

In any circumstances, Ecoway promises not to directly or indirectly circumvent, avoid, or bypass your brand to contact, deal with, transact, or otherwise become involved with any customer, partner, or entity introduced or revealed by your company. Our legal interpretation ensures maximum protection of your business expectations and commercial relationships.

6. Tooling & Mold Custody Policy

Ownership of custom manufacturing tools is explicitly protected. Once the mold development fee is settled, the client retains 100% legal ownership of the physical tooling. All proprietary molds are safely cataloged, maintained, and isolated inside our secure 10,000sqm manufacturing facility in Yongkang. They are used exclusively for your brand's mass production runs and are protected under our strict zero-tolerance policy against grey market leakage. Any surplus or QC-rejected units featuring your brand elements are immediately and physically destroyed.

7. Governing Law, Remedies & HKIAC Arbitration

This agreement and all technical data exchanges are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, providing a stable legal environment for international brand owners. The effective term of our mutual confidentiality obligations is firmly locked for Ten (10) Years from execution.

Any dispute arising from or in connection with this relationship shall be submitted to the Hong Kong International Arbitration Centre (HKIAC) for final and binding arbitration conducted in the English language. In case of any contractual breach, the disclosing party is entitled to request an immediate stop to infringement and demand full monetary compensation covering direct losses, indirect losses, loss of profit, and legal representation fees.

8. Structural Reorganization & Recourse Extensions

All invested companies and related upstream and downstream subsidiaries of the manufacturer are fully bound by these provisions. If our company undergoes any changes in its ownership structure, legal representatives, or merges with another entity, we must inform the client and provide all details within Fourteen (14) days. The client retains a full, permanent right of recourse against any new successor or merged corporate entity.
